Terms of Service

1. Agreement to Terms

By accessing or using sadly ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

sadly is a calendar for reflecting on your year. The Service allows you to:

• Connect Google Calendar (or the iPhone app) so your days fill in with your events
• Rate each day's events with a thumbs up or down — via a one-tap evening email or the app
• Optionally sync Apple Health (sleep, steps, workouts, heart data) through the iPhone app
• See your whole year as a color-coded calendar, with reflection prompts specific to your day
• Receive an evening reflection email and a weekly summary

Note on journaling: if you reply to a reflection prompt by email, we process the message only to extract metadata (word count, sentiment) and then discard the text — the content of your replies stays in your email inbox, not on our servers.

3. Account Registration

To use the Service, you must register with a valid email address. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your email account
• All activities that occur through your registered email

We use passwordless authentication via magic links sent to your email address.

4. Pricing

sadly is currently free while in development — no subscription or payment is required to use the Service.

We may introduce paid plans in the future. If we do, we will notify you by email before any charges apply, and we won't start charging you without your explicit agreement. Any future payments would be handled securely by Stripe.

5. Acceptable Use

You agree not to use the Service to:

• Send spam, malware, or other harmful content
• Violate any applicable laws or regulations
• Impersonate others or provide false information
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated systems to send excessive emails to our service

We reserve the right to suspend or terminate accounts that violate these terms.

6. Privacy

Your privacy is fundamental to our service. Please review our Privacy Policy to understand how we handle your information.

Key point: we never store the content of your journal replies — those stay in your email inbox. We do store your calendar events, ratings, reflections, and any health data you sync, as described in the Privacy Policy.

7. Intellectual Property

The Service, including its design, features, and content (excluding user-submitted content), is owned by sadly and protected by intellectual property laws.

Your content — your ratings, reflections, and journal replies — belongs to you. The content of your journal replies is never stored on our servers; it stays in your email inbox.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for any loss of data, including email delivery failures.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SADLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless sadly and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the new Terms.

12. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us. Your journal entries will remain in your email inbox regardless of account status.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
